Terms of Service

Effective September 2026

These Terms govern your use of PayBills. By creating an account or making a payment, you agree to them. Read carefully - they explain who we are, how payments work, how pricing and exchange rates are set, when refunds are possible, and what happens if you initiate a chargeback.

1. Who we are

PayBills is a service operated by CentralPay Hub LLC, a limited liability company registered in Tashkent, Republic of Uzbekistan, taxpayer identification number (STIR) 313 056 856, state registration certificate dated 20 May 2026. Registered office: Tashkent, Yashnabad district, Mashinasozlar mahalla, Mavlono Riyoziy street, 1st lane, Uzbekistan. In these Terms, "PayBills", "we", "us", and "our" mean CentralPay Hub LLC. "PayBills" is the name of the product and service we provide.

2. The service

PayBills lets you pay any Uzbekistan bill (utilities, mobile, internet, TV, banks, education, and more) from anywhere in the world using your Visa or Mastercard. We act as a payment facilitator: we collect funds from your card, deduct a transparent cross-border service fee, and forward the remainder to your chosen provider via Paynet, the Uzbek bill aggregator.

PayBills is NOT a money transmitter, e-money institution, remittance service, or stored-value provider. We do not hold customer funds, operate user wallets or accounts with balances, transfer money between individuals, or support cash withdrawals. Each payment is a one-time, purpose-bound transaction directly settling a named bill at a named provider on behalf of the cardholder.

Because we never hold your money, PayBills is not an authorised payment institution, e-money institution or bank in any country, and is not supervised as one. Your money is not covered by a deposit guarantee scheme or by safeguarding rules, because at no point does it sit with us: your card is charged by a licensed acquiring bank and the funds go on to the provider through Paynet, and those licensed institutions are the regulated parties in the chain. The protection you do have for a card payment is the one your card gives you - the Visa and Mastercard scheme rules and the dispute process at the bank that issued your card - together with the rights in these Terms.

3. Eligibility and minimum age

You must be at least 18 years old to open a PayBills account or to make a payment through it. When you create an account you confirm that you meet that requirement, and we record that confirmation against your account.

PayBills is built for adults. Every payment is settled with a Visa or Mastercard held in your name or used with the cardholder's permission, and the bills we serve are adult household obligations - utilities, taxes, traffic fines, bank loans, and insurance. You must also have the legal capacity to agree to these Terms, and you must not be barred from using the service under any law that applies to you.

If we find that an account belongs to someone under 18, we will close it and refund any payment that has not yet been delivered to a provider. Payments already delivered to a provider are final, as set out below.

4. Pricing and exchange rate

Before every payment we show you a clear breakdown - the bill amount, our service fee, and the total - in the currency you are shown prices in. We also show you the exchange rate we applied.

Your card is billed in Uzbek soum if you are paying from Uzbekistan, in roubles if you are paying from Russia, and in US dollars everywhere else, including the euro area and the United Kingdom. If we showed you a total in euros or pounds, that figure is our estimate of what the dollar charge will come to: your own bank converts the dollar amount at its own rate and may add a foreign-transaction fee, so the amount on your statement can differ from the figure we showed.

PayBills sets its own exchange rate to convert the bill into the currency we quote you in. The resulting total, and the exchange rate we applied, are both shown to you before you confirm the payment. This rate may differ from the Central Bank of Uzbekistan reference rate and from rates available elsewhere. Your card-issuing bank may also add its own foreign-transaction or currency-conversion fees on top - those are separate from us and outside our control. By creating a PayBills account, you acknowledge and agree that PayBills uses its own internal exchange rate for all currency conversions, and that you accept the total displayed to you at the time of each payment.

5. Payment finality

Once we have confirmation from Paynet that your payment has been delivered to the provider, the transaction is FINAL. We cannot reverse a delivered payment because the provider has already credited your account. This is the same principle that applies when you pay a utility bill in cash at a local kiosk - once paid, it cannot be uncollected.

6. Refunds for failed payments

If a provider rejects your payment (for example, because the account number you entered does not exist), we will automatically refund the full amount back to the card you used. No action is required from you. The refund will appear on your statement within 1-10 business days, depending on your card-issuing bank.

7. Cancellation window

You may not cancel a payment after you tap Pay. Validate the recipient details on the Pay screen carefully - once you proceed, we begin processing within seconds.

8. Chargebacks

Section 5 makes a delivered payment final: the provider has already credited the account, so there is nothing for us to reverse. A chargeback against a delivered payment is therefore a dispute about a completed delivery, not a way to obtain a refund.

If you start one, we will:

• give your bank our delivery evidence: the Paynet receipt number, the timestamp, the account that was paid, and the IP address and device the payment came from

• close the account to new payments

• record the delivered amount as a balance you owe us, and block both the phone number on the account and the number that was topped up

• place any new account we can link to that balance on hold for 14 days

We will not charge a different card for what is owed. We tell you the amount, and the account is released once it has been settled. A hold expires on its own.

If your bank tells us the card was used without your authority, this section does not apply to you. In that case you were not our customer, and we treat you as the person the fraud was committed against: no ban, no balance, and no number blocked. Please report it to us as well as to your bank so we can act on it.

If something is wrong with a payment, write to support@paybills.uz first. We resolve the large majority of disputes within 24 hours, which is faster than a chargeback.

9. Account security

You are responsible for keeping your password and one-time codes confidential. We will never ask you for your password or full card number. Suspected fraud or account takeover should be reported immediately.

10. Acceptable use

You may only use PayBills to pay bills for accounts you legitimately control or have permission to pay. You may not use the service for money laundering, sanctions evasion, illegal gambling, or to circumvent restrictions imposed by any provider or regulator. By using PayBills you confirm that you are not using the service for money laundering, terrorist financing, fraud, or any other unlawful purpose, and that the funds and payment cards you use are legitimately yours or used with the permission of the cardholder.

11. Account suspension

We may suspend or close your account if we detect chargeback abuse, suspected fraud, prohibited usage, or instruction from a regulator. We will notify you in writing where legally permitted. In addition, we reserve the right to suspend, deactivate, or close your account at any time, with or without prior notice and with or without giving a reason, including where we detect unusual, suspicious, or unauthorised activity. You acknowledge and agree that we may take such action to protect the service, our users, and to meet our anti-money-laundering and regulatory obligations.

12. Intellectual property

The PayBills name, logo, site content, designs, and software are owned by CentralPay Hub LLC and are protected by intellectual property law. We grant you a limited, personal, non-transferable, revocable licence to use the service for the purpose of paying bills as described in these Terms. You may not copy, scrape, reverse-engineer, decompile, resell, or create derivative works from any part of the service.

13. Limitation of liability

We are liable for what we control: collecting funds correctly, computing the price honestly, and forwarding the correct amount to Paynet. We are not liable for: errors you make entering recipient details, your card-issuing bank's FX rates or fees, delays caused by Paynet or the underlying provider, or downtime of third-party systems.

To the extent permitted by law, our total aggregate liability to you for any claim is limited to the service fees you paid us in the 6 months before the claim arose. We are not liable for any indirect, incidental, special, or consequential loss, or for loss of profit, opportunity, or data.

Nothing in these Terms limits any liability that cannot be limited or excluded under the mandatory law that applies to you.

14. Indemnity

You agree to indemnify CentralPay Hub LLC against reasonable losses, costs, and claims that arise directly from your breach of these Terms, your misuse of the service, or your violation of any law - for example, paying a bill you had no right to pay. This indemnity is limited to losses we actually and reasonably incur, and does not apply to losses caused by our own fault.

15. Force majeure

We are not liable for any failure or delay in providing the service caused by events beyond our reasonable control. These include, but are not limited to: outages or failures of Paynet, the card acquirer, banks, or telecom networks; loss of internet connectivity; government, court, or regulatory action; changes in sanctions regimes; and natural disasters, fire, or other emergencies.

16. Governing law and dispute resolution

These Terms are governed by the law of the Republic of Uzbekistan. Any dispute that cannot be resolved informally is subject to the competent courts of Tashkent, Republic of Uzbekistan.

This choice of law does not deprive a consumer resident in the EU, the UK, or the USA of the mandatory consumer-protection rules of their country or state of residence, and the rules of the Visa and Mastercard card networks may give you additional rights. If something goes wrong, please contact our support team first at support@paybills.uz so we can try to resolve it informally and quickly.

17. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision is severed and the remaining provisions stay in full force. The invalid provision will be replaced by a valid one that comes as close as possible to the original intent.

18. Changes to these Terms

We may update these Terms. Material changes will be communicated via email and via an in-app notice at least 14 days before they take effect. Continued use of the service after the effective date is acceptance of the new Terms.
